GENERAL TERMS OF USE OF THE SERVICES PROVIDED BY THE MERCHANT

Art. 1. These general conditions are intended to regulate the relationship between "ENERGY EDUCATION LIMITED, Company number 11591720, with registered office and management address: 106 Bunhill Row, London EC1Y 8TZ, www.SmartStartup.uk, email : [email protected], telephone +44 20 3287 6363 hereinafter referred to for short as the CONTRACTOR, and the users, hereinafter referred to as USERS, of the information society service provided by him, hereinafter referred to as the SERVICE.
I. CHARACTERISTICS OF THE SERVICE
Art. 3. The service provided by the Contractor to the User is a platform for requesting the registration of a trading company in the in a European Jurisdiction by list online on the Internet.
Art. 4. The Contractor provides, and the Users use the Service, according to the parameters and technical specifications announced on the Contractor's website, which includes the following: Creation of a request for registration of a Trading Company in the in a European Jurisdiction, assistance with registration and verification of bank accounts to the trading companies, Representation before the tax authorities and accounting.
II. PRICE OF THE SERVICE
Art. 5. (1) The Contractor provides the Service referred to in Article 4 against a fee payable by the User according to the package plan chosen by him indicated on the page https://SmartStartup.uk - /Package prices/.
(2) Information on the various parameters of the relevant package plan for the registration of commercial companies via the Internet is available on the Contractor's website at https://SmartStartup.uk /Package Services/ and is specified without inclusion VAT.
(3) The contractor also offers other additional services, the prices and conditions of which are defined on the relevant page of the additional service and/or in additional conditions for the additional service.
Art. 6. (1) The User pays the price of the Service (Art. 4) in accordance with the prices set by the Contractor on his website - https://SmartStartup.uk (Packages/Package prices/), according to the package chosen by him.
(2) Within 1 /one/ business day after receiving the payment, the Contractor activates the Service (Art. 4).
III. PROVISION OF THE SERVICE AND TECHNICAL STEPS FOR CONCLUSION OF THE CONTRACT
Art. 7 (1) These general terms and conditions apply to the service referred to in Art. 4.
(2) In order to use a Service, the User familiarizes himself with the technical characteristics of the package plan chosen by him and after choosing the one suitable for his needs.
(3) The User must fill in contact information and an e-mail address, which will be used to access the administrative part of the Service offered by the Contractor, as well as for contact between the two parties.
(4) To use the Service, the User should enter the above data.
(5) By filling in his data, ticking the checkbox in front of "I have read and agree to the general terms and conditions", the Customer declares that he has read and is familiar with the present general terms and conditions, agrees with their content and undertakes unconditionally to complies with them, and by pressing the "Order" button makes a legally binding application for the conclusion of a contract between him (the User) and the Contractor.
(6) The Contractor confirms the request made by the User by sending a letter to the e-mail address indicated above by the User, to which information on activating the Order for the Service is also sent. The User confirms the registration and conclusion of the contract through an electronic reference in the letter with which he is notified of the completed registration, sent by the Contractor. After the confirmation, the User's account is created and a contractual relationship is established between him and the Contractor.
(7) When registering, the User undertakes to provide correct and up-to-date data. The user undertakes to promptly (up to 2 /two/ working days) update the data specified in his registration in case of change.
(8) All messages and correspondence between the parties shall be considered duly served only when they are made by letter with return receipt to the address/headquarters of the company and/or to the e-mail address specified in the registration/order. The parties accept as valid the addresses for correspondence between themselves indicated during registration and/or the addresses indicated in the Commercial Register. In the event of a change in the address of one of the parties, the latter is obliged to notify the other party immediately in writing, and the notification may also be made electronically by e-mail.
Art. 8. Communication between the Contractor and the Client is carried out through the contact forms on the Contractor's website, to make electronic statements in the relationship between them, as well as by e-mail: [email protected] for the Contractor, and for the Client, the e-mail indicated at the initial registration.
(2) The contract is concluded in English languages according to the nationality of the User of the service.
(3) The contract between the Contractor and the User constitutes these general terms and conditions, available at https://SmartStartup.uk, together with all amendments and additions thereto.
(4) Party to the contract with the Contractor is the User of the Service according to the data provided during the Order/Registration and contained in the User's personal profile. For the avoidance of doubt, these are the details with which an account was created with the Contractor.
(5) The contractor includes in the interface of his Internet page, technical means for identifying and correcting errors in the entry of information before the statement to conclude the contract is made.
(6) This contract is considered concluded from the moment the User's Order is placed with the Contractor. In the event that the Service is requested for use after registration, the contract for its use is considered concluded from the moment of its request by the User through the platform/interface of the Contractor.
(7) For the conclusion of this contract and for the conclusion of the contract for the use of the Service, the Contractor expressly notifies the User in an appropriate manner by electronic means (e-mail) and/or by letter, with return receipt.
(8) In the event that the Service is used without registration by the Users, the contract for its use is considered concluded from the moment of its first use by the User. In this case, these general terms and conditions apply from the moment of the first use of the service by the User until the moment of cessation of its use.
(9) The statement of conclusion of the contract and the confirmation of its receipt are considered received when their addressees have access to them.
(10) Within 14 days from the date of conclusion of this contract, the Customer has the right to withdraw from the contract without giving any reason, without owing compensation or penalty and without paying any costs, by emailing your opt-out to [email protected]
Art. 9. (1) The User undertakes to use the Service in good faith and for its intended purpose.
(2) When using the Service, the User must not use false personal data.
(3) The User undertakes not to use the Service contrary to the applicable English and European legislation, including but not limited to committing crimes.
(4) The disclosure and verification of the response to the legal requirements of his action is carried out independently by the User when using the platform.
(5) The user is obliged to use the platform in a way that does not violate the rights of third parties, including the rights of intellectual property of third parties, including utility models, industrial designs and maps.
(6) The user declares and undertakes that he will not use the site's platform and resources to send unsolicited commercial messages.
Art. 10. The User sends real data for registration of the Service and its management.
Art. 11. (1) In order to improve the quality of the Service, perform prevention, repair damage and other related activities, the Contractor has the right to temporarily limit or suspend the provision of the service.
(2) In the cases under para. 1, The contractor is obliged to promptly restore the provision of the service after the termination of the circumstance that caused the suspension.
Art. 12. (1) The Contractor takes measures to protect the User's personal data in accordance with the Personal Data Protection Act.
(2) For reasons of security of the Users' personal data, the Contractor will send the data only to the e-mail address that was specified by the Users at the time of registration.
(3) The contractor adopts and announces on its website a Policy for the protection of personal data, available at https://SmartStartup.uk/terms The User agrees to the Contractor's Privacy Policy.
(4) The User agrees that the Contractor has the right to process his personal data in accordance with his Personal Data Protection Policy.
Art. 13. (1) At any time before, during or after provision of the Service, the Contractor has the right to require the User to identify himself and certify the reliability of each of the circumstances and personal data announced during registration.
Art. 14. (1) These general conditions may be amended by the Contractor, of which the latter will notify all registered Users of the service in an appropriate manner. (2) The Contractor and the User agree that any addition and amendment to these general terms and conditions will be effective against the User after the Contractor has expressly notified him and if the User does not state within the 14-day period granted to him that he rejects them.
(3) The User agrees that all statements of the Contractor in connection with the amendment of these general conditions will be sent to the e-mail address specified by the User when registering to use the Service. The User of the Service agrees that e-mails sent pursuant to this Article do not need to be signed with an electronic signature in order to be effective against him.
V. TERMINATION
Art. 15. The contract for the provision of the Service is terminated:
• upon expiration of the contract and/or non-payment of the service, according to the period of provision of the Service /accounting/ chosen by the User;
• with termination of the User's registration for using the Service;
• upon termination and declaration of liquidation or declaration of bankruptcy of one of the parties to the contract;
• by mutual agreement of the parties in writing;
• unilaterally with notice from each of the parties in case of non-fulfilment of the obligations of the other party;
• in case of objective inability of one of the parties to the contract to fulfill its obligations;
• upon seizure or termination of activity by state authorities;.
• unilaterally without notice on the part of the Contractor in case of non-fulfillment of the obligations of the User specified in art. 9, para. 3 of these General Terms and Conditions;
Art. 16. The contractor has the right at its discretion, without giving notice, to unilaterally terminate the contract in the event that it finds that the services provided are being used in violation of these general conditions, UK law and generally accepted moral standards.
VI. OTHER TERMS
Art. 17. The invalidity of any clause of this contract which is declared to be contrary to the provisions of English civil and commercial law will not invalidate any other clause or the contract as a whole.
Art. 18. The laws of the United Kingdom shall apply to matters not set out in this Agreement relating to the performance and interpretation of this Agreement.
Art. 19. All disputes between the parties under this contract will be resolved by the competent court and/or institution.
Art. 20. These general terms and conditions enter into force for all Users on January 1, 2024.
